What is a “penny stock” and why is it different?

A penny stock is generally used when referring to stocks under $5 per share that trade “Over-The-Counter”. 

What is “Over-The-Counter”?

A stock that trades “Over-The-Counter” is not listed on a US Stock Exchange (NYSE or Nasdaq), but trades on the OTC Markets. 

Tiers of OTC Markets

OTC markets are divided into three markets, the OTCQX, OTCQB, and OTC Pink. Some stocks are given a further designation of Caveat Emptor (CE), Grey market and Expert Market. 

OTC Market Tiers Types of Companies Listing Requirements
OTCQX International Companies listed on an international exchange. No penny stocks, shell companies, or in bankruptcy. Current regulatory disclosures.
OTCQX U.S Qualified smaller and growth companies. No penny stocks, shell companies, or in bankruptcy. Current regulatory disclosures; Bid test.
OTCQB Entrepreneurial and development stage U.S. and​ international companies. Not in bankruptcy. Bid test.
OTC Pink Companies of all development stages, including penny stocks, shell companies, and companies in bankruptcy. Low disclosure requirements.

Read OTC Markets “Understanding the Expert Market” Rule 15c2-11, companies that do not make current information publicly available under the rule will shift to the Expert Market.

Quotes in the Expert Market will be “Unsolicited Only.”
Caveat Emptor Read OTC Markets “Caveat Emptor Policy” OTC Markets Group designates certain securities as 'Caveat Emptor' and places a skull and crossbones icon next to the stock symbol to inform investors that there may be reason to exercise additional care and perform thorough due diligence before making an investment decision in that security.
